Responsibilities:
The Assistant Company Secretary will directly support the Head of Legal and Company Secretary and the Assistant Director of Compliance, as well as support the broader legal and compliance department as required. You will work alongside industry experts and play a pivotal role in maintaining high standards of corporate governance and board support within AB’s legal and compliance function. This includes administrative responsibilities, ad-hoc projects, and being involved in a variety of legal and compliance matters
Scope:
- Provide corporate governance support for multiple legal entities in Australia and liaise with counterparts across the APAC region and USA.
- Responsible for preparing and distributing board and committee reports, meeting packs, scheduling board and committee meetings including AGM and member meetings.
- Provide accurate minute-taking in collaboration with the Company Secretary, board of directors and AB executive team.
- Provide all corporate secretarial support including ASIC submissions, regulatory notifications, maintenance of statutory records, corporate filings and insurance arrangements.
- Coordinate and assist with reviewing PDS’, constitutions, prospectuses and other fund-related material.
- Assist the legal and compliance department with AML (Anti-money Laundering) due diligence and monitoring processes.
- Work closely with members of the legal and compliance department in managing risk, implementing compliance arrangements, monitoring regulatory obligations, and other legal and compliance matters.
- Support team assistants when needed with all aspects of office management and operational matters.
- Assist AB on a wide variety of local, regional and global initiatives and ad-hoc projects.
- Experience in Company Secretarial work with knowledge of Australian governance practices.
- Exceptional attention to detail and strong organisational skills are essential.
- Be comfortable in managing competing demands and stakeholders in a matrixed organisation.
- Excellent communication and interpersonal skills, together with the ability to develop strong relationships.
