This is a Victorian based government organisation who support the broader economy. With a diverse asset portfolio, strong commercial focus and related non-commercial activities like community projects and environment preservation. Reporting to the General Counsel and dotted line to the Chair, the Company Secretary will be a trusted advisor on corporate governance issues and responsible for a wide range of duties. You will work closely with the Chair, Board, Committee Chairs and interface with the Executive Team.
The Company Secretary will be responsible for:
- Ensuring corporate governance processes and systems are maintained to high standards, contributing to the success and integrity of the organisation.
- Maintaining a corporate governance framework, including its policies and procedures meeting best practice standards.
- Overseeing corporate governance compliance and assurance.
- Co-ordination of papers and materials presented at Board and Committee meetings.
- Preparing papers for the Board and its Committees, and ad hoc briefing papers for the Directors on governance related matters.
- End-to end coordination of all Board and Committee meetings and out of session circular resolutions.
- Leading the secretariat and corporate governance functions of the subsidiary companies.
About you
To be successful in this role, you will hold a tertiary qualification in Law, Finance or related field, along with a Graduate Diploma in Applied Corporate Governance or equivalent. Skills and attributes in this role include:
- 7+ years relevant experience in company secretary role with a substantial and complex organisation.
- Deep and practical understanding of excellent governance practices and drive best practice corporate governance.
- Experience in liaising with a Board of Directors, key external stakeholders and the Executive Team.
- Experience in working collaboratively as part of a team at a senior management level.
- Strong interpersonal skills, strategic thinking and commercial acumen.
- Extensive experience with electronic board portals and strong report writing skills.
- Flexibility and willingness to work on a variety of matters from complex to routine matters, and the ability to manage a diverse range of issues and priorities simultaneously.
- Experience in government agencies would be highly regarded.
