Naiman Clarke
Legal Counsel: Structured Finance & Treasury (Greenfields In-House Role)
What’s in it for you?
- A genuine Greenfields in-house opportunity, build and shape the legal function around funding, treasury and capital markets as the business scales
- Sit at the commercial centre of the business, working directly with Treasury, Capital Markets, Credit and the Executive team rather than sitting on the sidelines as a narrow legal adviser
- Broad exposure across securitisation warehouses, debt note issuance, bilateral and syndicated facilities, private credit and capital markets funding
- Hands-on drafting and negotiation ownership, not just external counsel management
- High-growth, entrepreneurial environment with real influence over how the funding platform is built and scaled
About your new employer
- A well-capitalised, fast-growing Australian alternative asset manager operating across private credit, infrastructure and tactical investment strategies
- Known for a disciplined approach and a strong reputation among banks, institutional investors and capital markets participants
- A lean, high-performing team culture where legal sits close to the deal-making, not buried in process
- A business in genuine growth mode, scaling its funding platform toward institutional standards, this role will help build the runway
About the role
This is a newly created, high-impact in-house role for a commercially-minded finance lawyer who wants to move beyond discrete transactions and become embedded in the ongoing funding and lending strategy of a growing business. You'll be the internal legal go-to across the group's treasury, banking and financing activities, from establishment through to execution and ongoing management.
You will be responsible for:
- Drafting, reviewing, negotiating and settling transaction documents for securitisation warehouses, debt note programmes, bilateral and syndicated facilities, security and intercreditor arrangements
- Supporting the establishment, amendment, renewal and ongoing operation of warehouse and funding structures
- Acting as the key internal legal contact for financing transactions from initial structuring through to financial close
- Managing external legal counsel efficiently, translating advice into practical, commercial recommendations
- Advising on legal risk across covenants, reporting obligations, events of default and security enforcement
- Building internal legal processes, precedents and governance frameworks to support a scaling funding platform
- Working closely with Treasury, Finance, Risk, Compliance, Credit and Operations, as well as trustees, financiers, arrangers and noteholders
- Build out a team around you
The ideal candidate
- Admitted lawyer in Australia (NSW preferred) with approximately 6–12 years PQE
- Strong finance documentation experience gained in a top-tier or mid-tier banking & finance/structured finance practice, and/or in-house within financial services
- Comfortable drafting and negotiating directly, this is not a coordination-only role
- Experience with securitisation, warehouse funding, debt capital markets, asset finance, receivables financing or non-bank lending highly regarded (direct securitisation experience desirable but not essential for the right candidate)
- Commercial, pragmatic and solutions-focused, with the confidence to work directly with senior stakeholders and external advisers
- Genuinely excited by the idea of building something, this is a greenfields seat, not a backfill
