The Opportunity

This is not a standard Company Secretary appointment. A high-activity, entrepreneurial resources group operating out of Perth CBD is looking for a commercially minded Company Secretary to take on a newly created, in-house role.

The group backs and incubates resource companies at different stages of development from active uranium explorers to large-scale gas development projects. It has a strong track record of building shareholder value and accessing capital markets, with approximately $300m raised across the stable in recent years.

The successful candidate will operate well beyond standard governance. Alongside the full suite of ASX and Corporations Act obligations, the role involves working with CEO and CFO to draft term sheets and commercial agreements, run point on JV processes and data rooms, manage multi-jurisdictional regulatory engagement, and act as a genuine resource to senior management. The group handles things in-house where most companies would outsource - this is deliberate and the role reflects that.

The Role

Governance and Compliance

  • Managing all ASX Listing Rule obligations, continuous disclosure and ASIC lodgements.
  • Preparing and lodging ASX announcements, quarterly activities reports and half-year and annual reports.
  • Advising the board and executive on governance best practice, regulatory change and ASX Corporate Governance Principles.
  • Coordinating board and committee meetings, board papers, minutes and action registers.
  • Managing AGMs, share registry administration, securities trading policies and equity incentive registers.

Legal and Commercial

  • Drafting term sheets, heads of agreements, NDAs and option agreements in-house.
  • Running point on commercial processes, including JV structures, data room management and partnering negotiations.
  • Reviewing and engaging with transactional and commercial contracts across multiple jurisdictions.
  • Managing relationships with external legal counsel across corporate, resources and financing matters.
  • Supporting capital raisings and placements from a governance and compliance perspective.
  • Managing insurance placement processes.

About You

The successful person will bring:

  • Demonstrated experience as a Company Secretary or Joint Company Secretary of an ASX-listed entity - ideally in the resources or energy sector.
  • Ideally, a legal background or a strong legal capability developed through practical experience in corporate law, governance or capital markets.
  • Working knowledge of the ASX Listing Rules, Corporations Act 2001 and ASIC requirements - applied, not just theoretical.
  • Exposure to commercial transactions, JV structures or capital markets activity.
  • Awareness of international regulatory environments is an advantage.

Equally important is attitude and fit:

  • You are commercially curious - genuinely interested in the deals, the capital markets story and the projects, not only the governance checklist.
  • You are resilient and adaptable - comfortable without defined structure, where priorities shift quickly and urgency is the norm.
  • You are present and committed - this is an in-office role. The group's way of working depends on physical presence and a preference for remote work will not be a fit.
  • You are direct and unflappable - the office is candid, high-pressure and moves fast. You don't need polished corporate protocol to feel comfortable.
  • You are motivated by upside - the options programme across the stable is a meaningful part of why people work here and the right person will see it the same way.
