JS Careers are pleased to be assisting a leading ASX-listed financial services organisation who are seeking an Assistant Company Secretary to join its Legal, Risk and Governance team.

Reporting to the Chief Legal, Risk and Compliance Officer, this role will provide company secretariat support across listed and unlisted entities. This role plays a key part in maintaining high standards of corporate governance, regulatory compliance and board administration.

Key Responsibilities

  • Coordinate board and board committee meetings, including preparing agendas, collating and distributing papers, recording minutes and tracking action items.
  • Prepare and manage written resolutions and board documentation.
  • Coordinate the execution and filing of corporate documents.
  • Maintain statutory registers and other corporate records.
  • Liaise with regulators, share registries, shareholders and other external stakeholders as required.
  • Assist with the preparation of annual reports, corporate governance disclosures and shareholder communications.
  • Prepare and lodge regulatory filings and market announcements.
  • Support key governance events, including annual general meetings and periodic reporting requirements.
  • Identify and implement process improvements to enhance the efficiency of the company secretariat function.
  • Provide practical and timely governance advice to internal stakeholders.

Skills & Experience

  • Minimum 3 years' company secretariat experience, preferably supporting ASX-listed entities.
  • Tertiary qualifications in law, business, governance or a related discipline.
  • Strong understanding of corporate governance principles and relevant Australian corporate legislation and regulatory requirements.
  • Excellent organisational skills with strong attention to detail.
  • Experience within financial services, funds management or a regulated industry is desirable.
  • Exposure to listed company reporting obligations, annual general meetings and periodic disclosure requirements.
  • Ability to manage multiple priorities and maintain high levels of accuracy in a fast-paced environment.
  • Strong written and verbal communication skills and the ability to work effectively with senior stakeholders.
