Legal Counsel

Beacon Legal

Beacon Legal has partnered with a leading global real assets and private equity investment manager in the search for a Legal Counsel to join its Melbourne office. This opportunity would suit a lawyer with around 3–6 years’ PQE who is looking to step into a broad and commercially significant role with a strong focus on project finance, corporate transactions and infrastructure investments.

We’re seeking a commercially minded and proactive finance/M&A lawyer to join a high-performing legal team. This role offers exposure to complex financing arrangements, acquisitions, divestments and investment structuring work across renewable energy and infrastructure assets, and the chance to work closely with an experienced investment and development team operating at the forefront of the energy transition sector.

This is an excellent opportunity to move into a dynamic in-house role where you will play a key part in high-value transactions, strategic growth initiatives and portfolio management activities across a sophisticated infrastructure platform.

About the Role

  • Lead and support financing transactions across development and operational infrastructure assets, including project finance, refinancing and portfolio financing arrangements.
  • Draft, review and negotiate key transaction documents including facility agreements, security documents, hedging agreements, share purchase agreements, shareholders agreements and transaction support documentation.
  • Support investment directors and managers on acquisitions, bids, due diligence and transaction structuring matters.
  • Advise on legal and regulatory issues relating to infrastructure investments, financing arrangements and corporate transactions.
  • Work closely with senior stakeholders across investment, finance, development, governance and risk teams.
  • Manage external counsel and support transaction execution through to completion.
  • Assist with governance, board approvals and corporate structuring matters associated with investments and transactions.

What we’re looking for

  • Admitted to practise in Australia.
  • 3–6 years’ experience in banking & finance or corporate/M&A gained in private practice or in-house.
  • Strong drafting and negotiation experience across financing and transaction documents.
  • Exposure to project finance, infrastructure transactions or energy and renewables sectors will be highly regarded.
  • Strong technical, commercial and stakeholder management skills.
  • A proactive, adaptable and collaborative approach.
  • Excellent communication, drafting and problem-solving ability.
  • Comfortable working in a fast-paced and evolving environment.
