Senior Governance Counsel / Governance Advisory Lawyer

An exciting opportunity has arisen for an experienced governance lawyer to join the legal team of a high-growth technology business with a large global footprint.

This role offers the chance to work at the intersection of Legal, Governance and executive leadership within a sophisticated, fast-growing international organisation. Reporting directly to the Head of Legal, you will partner closely with senior stakeholders across Legal, Company Secretariat and Corporate Services, while operating in a dedicated governance advisory capacity.

The position has a broad international remit, supporting governance frameworks, board and committee processes, and entity management across multiple jurisdictions.

Key Responsibilities

• Advising on governance frameworks and best practice across Australia, the US and Canada, including SEC/NASDAQ requirements

• Supporting Boards and Committees on governance and legal matters

• Developing and enhancing governance policies, frameworks and documentation

• Assisting with statutory compliance, disclosures and broader corporate governance obligations

• Supporting global entity management across a complex corporate structure

About You

• 8+ years’ PQE gained within a top-tier law firm, listed corporate environment or in-house legal/governance function

• Strong experience advising on governance, board or company secretarial matters

• Exposure to ASX and/or SEC/NASDAQ governance and disclosure frameworks preferred

• Commercial, collaborative and confident engaging with senior stakeholders
