Greenfields is working with a prominent ASX-listed funds management organisation to appoint a Legal Counsel. This appointment presents an exceptional opportunity to join a well-regarded, commercially driven in-house legal function supporting a substantial and multifaceted investment platform.
The position provides meaningful involvement across funds, M&A, capital structuring, governance and strategic corporate activity, engaging directly with senior leaders across the enterprise.
The Role
Reporting into the Head of Legal, you will contribute across a wide spectrum of corporate and funds-related matters within a dynamic, deal-intensive setting. You will be closely involved in significant projects and transactions from inception through to execution, collaborating with internal teams and external advisers to deliver pragmatic and business-aligned legal guidance.
Key Responsibilities
- Provide legal counsel on funds and investment management matters, including managed investment schemes, mandates and capital partner arrangements
- Assist with M&A and corporate transactions end-to-end, including structuring, due diligence and completion
- Advise on capital management initiatives, including equity and debt transactions
- Support boards and committees on governance matters, including conflicts and related party issues
- Prepare and negotiate transaction documents, commercial agreements and governance documentation
- Proactively assess and mitigate legal risk while working alongside stakeholders and external advisers to facilitate strategic objectives
About You
- 5+ years PQE with solid exposure to transactional practice (M&A, funds management, finance or capital markets) gained within a leading law firm and/or an in-house legal team
- Well-developed technical, analytical and drafting skills
- Business-focused with the capacity to distil complex legal concepts into clear, actionable advice
- Comfortable engaging with senior stakeholders and cultivating effective working relationships
- Structured and methodical in approach, with the ability to manage multiple concurrent priorities
