The Opportunity
A well-established, member-focused financial institution is seeking an experienced Assistant Company Secretary to join its Legal and Governance team at a key point in the organisation’s evolution. This is a high trust role offering direct exposure to the Board, senior executives and regulators with genuine scope to influence governance outcomes.
The Role
Reporting to the General Counsel and Company Secretary, you will play a central role in delivering governance and company secretarial support across the group. Acting as a key liaison between Directors, executives and external stakeholders, you will help ensure robust compliance, effective decision making and smooth Board operations.
Key Responsibilities
- Coordinate end‑to‑end Board and Committee processes, including agendas, papers, minutes and secure distribution
- Provide company secretarial support across group entities, including statutory compliance and officeholder obligations
- Prepare and lodge regulatory and statutory filings with relevant regulators, including accountability updates
- Support the planning and delivery of the Annual General Meeting, including notices, elections and meeting logistics
- Maintain statutory registers, governance records and document archives
- Oversee the organisation’s policy governance framework, ensuring policies remain current and fit for purpose
- Act as a trusted governance contact for Directors, executives and senior stakeholders
- Contribute to governance projects, system improvements and process enhancements
- Provide pragmatic, commercially informed governance advice across the business
About You
You will be an experienced governance or company secretarial professional who is comfortable operating in a fast moving, highly regulated environment. You enjoy working closely with senior stakeholders and are equally happy rolling up your sleeves to ensure governance processes run seamlessly.
You will bring:
- At least 5 years’ experience in company secretarial, legal or corporate governance roles
- Proven Board and Committee support experience, including high quality minute taking
- Excellent written and verbal communication skills
- Confidence dealing with senior executives, Directors and regulators
- Experience using Board portals (Diligent experience advantageous)
- A practical, hands on approach with strong attention to detail
- Ideally strong working knowledge of the Corporations Act and Australian regulatory frameworks
